Hereinafter referred to as "VBTech Limited", "we", "our", or "the Platform".

By accessing or using VBTech.net, whether as a brand ("Brand"), a content creator ("Creator"), or any other type of user ("User"), you agree to be bound by the following Terms & Conditions.

If you do not accept these terms, you may not use the Platform.

1 Purpose of the Platform

VBTech.net is a neutral, performance-based marketplace where Brands offer fixed CPM-based campaigns (cost-per-thousand impressions), and Creators submit and publish content to earn based on the reach they generate.

The Platform facilitates these transactions but does not act as a party to them.

2 Definitions

"Campaign"

Any marketing initiative created by a Brand, with defined CPM rates, brief, and approval parameters.

"Content"

Videos, posts, images, or any digital material submitted by Creators to be validated and distributed under a Campaign.

"CPM"

Cost per thousand impressions — the fixed payout to be earned by a Creator per 1,000 valid views.

"User"

Anyone interacting with the Platform, including Brands, Creators, visitors, and registered accounts.

3 Platform Role & Limitations

VBTech.net acts strictly as a technical facilitator. We do not act as an agency, employer, or legal representative of any User.

We do not vet, guarantee, or endorse the legality, quality, accuracy, or ethics of any Campaign, Brand, or Content.

You acknowledge that all transactions, collaborations, and content approvals occur at your own risk.

You are solely responsible for complying with local laws, business regulations, and reputation management in your jurisdiction.

4 Responsibilities of Creators

As a Creator, you agree to:

  • Conduct your own due diligence on the legality, ethics, and public reputation of any Brand or product you choose to promote.
  • Comply with all laws, including intellectual property, advertising standards, and platform-specific guidelines (e.g., TikTok, YouTube, Instagram).
  • Refrain from using bots, click farms, fake accounts, or artificial reach-inflation mechanisms.
  • Understand that VBTech.net does not guarantee you will be paid unless your content is approved, published, and generates valid impressions.

You are fully liable for your content. You understand that creating content for a controversial or fraudulent product may carry reputational or legal risk. VBTech Limited is not responsible for your decisions.

5 Responsibilities of Brands

As a Brand, you agree to:

  • Ensure that your product, service, and offer comply with all relevant advertising laws in the jurisdictions where your campaigns may be published.
  • Monitor the content submitted by Creators and approve only what aligns with your standards and legal obligations.
  • Understand that VBTech.net does not verify the identity, quality, or authenticity of every Creator.
  • Accept the risk that some content may underperform or attract criticism — that risk lies with you.

VBTech.net does not guarantee a bot-free ecosystem. We apply reasonable fraud detection measures, but you are ultimately responsible for validating the quality and performance of your campaigns.

6 Content Approval & Distribution

All submitted content must be manually approved by the Brand before being eligible for monetization. Once approved, the Creator may distribute the content on platforms of their choosing.

Reach-based payouts will be tracked based on platform analytics, screenshots, and/or technical integrations (subject to verification).

If a campaign or content violates these Terms or receives legal complaints, VBTech.net reserves the right to suspend or remove it at any time, with or without notice.

7 Account Limitation Policy

To maintain the integrity and fairness of our platform, VBTech.net enforces a strict one-account-per-person policy.

Each individual is permitted to register and operate only one VBTech.net account.

Creating, maintaining, or operating multiple accounts — including but not limited to using different email addresses, names, or devices — is strictly prohibited.

Any violation may result in the suspension or termination of all related accounts and forfeiture of associated benefits.

8 Payments & Fees

Platform Commission

VBTech.net collects a platform commission of approximately 10% on all CPM-based payouts.

Tax Responsibility

Creators are solely responsible for paying taxes on earnings generated via VBTech.net. We do not issue tax documents unless legally required.

Payout Holds

We reserve the right to withhold or delay payouts in the event of suspicious activity, content disputes, or failed verification of impressions.

9 Disclaimers

  • VBTech.net does not guarantee earnings, views, conversions, virality, or the success of any campaign.
  • VBTech.net does not endorse or certify any Brand or Creator.
  • The Platform may contain offers or content that are illegal, unethical, or banned in certain countries. It is your responsibility to do your own research and act accordingly.
  • VBTech Limited is not liable for damages, losses, or claims arising from campaign failure, reputational damage, user error, or third-party platform bans.

10 Account Suspension & Termination

We reserve the right to suspend or terminate any account, without refund or prior notice, in the event of:

  • Fraudulent activity (e.g., fake reach, impersonation)
  • Distribution of illegal or hateful content
  • Harassment, platform manipulation, or other abusive behavior
  • Repeated violations of these Terms

11 Jurisdiction & Governing Law

These Terms shall be governed by and construed under the laws applicable in Hong Kong.

Any dispute shall be subject to binding arbitration or handled by the competent courts of Hong Kong, unless explicitly waived by both parties.

12 Changes to Terms

We may update these Terms at any time. Changes take effect immediately upon posting.

Continued use of the Platform constitutes acceptance of any revised Terms. You are responsible for reviewing this page periodically.
